These Terms of Use govern your access to and use of the DataPorium website and its services, including the Company Insights and Market Insights dashboards. You agree to be bound by these Terms by accessing or using our Service. Usage of our services requires prior agreement to these Terms.
1. DEFINITIONS
1.1 "Company" refers to DataPorium, LLC, a California limited liability company registered in the United States.
1.2 "User" means any individual or entity that accesses or uses the Service.
1.3 "Content" refers to all information, data, reports, analytics, and other materials provided through the Service.
2. ACCEPTANCE OF TERMS
By accessing or using the Service, you agree to comply with and be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific sections of the Service or to products and services available through the Service.
3. CHANGES TO TERMS
DataPorium reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
4. USE OF THE SERVICE
4.1 License Grant
DataPorium grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.
5. PROHIBITED ACTIVITIES
You agree not to engage in any of the following prohibited activities:
a. Resell or Distribute Content: Resell, redistribute, or sublicense the Service or any Content accessed through the Service.
b. Account Sharing: Share your username and password with others. Your account is for your exclusive use, and you are responsible for all activities under your account.
c. Attribution Requirement: When using DataPorium’s data in reports, posts, or presentations, you must include the DataPorium name. You are prohibited from presenting DataPorium’s analyses without proper attribution to the DataPorium brand.
d. Web Scraping and Data Mining: You are strictly forbidden to engage in web scraping, data mining, or any automated data collection from the Service.
e. Refunds: All subscription purchases are final and non-refundable.
f. Decision Responsibility: Make decisions or interpretations based on the Content provided by DataPorium at your own risk. DataPorium is not responsible for any outcomes resulting from your use of the Service.
g. Reverse Engineering: Attempt to decipher, decompile, or reverse engineer any part of the Service.
h. Unauthorized Access: Gain unauthorized access to any part of the Service or related systems.
i. Interference: Disrupt or interfere with the integrity or performance of the Service.
6. USER ACCOUNTS
6.1 Registration
To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
6.2 Account Security
You are responsible for safeguarding your account credentials. You agree to notify DataPorium immediately of any unauthorized use of your account or any other breach of security.
7. PAYMENT AND SUBSCRIPTION
7.1 Fees
Access to the Service may require payment of subscription fees as outlined on our Pricing Page. All fees are non-refundable.
7.2 Payment Terms
Payments are due in advance and are billed on a recurring basis (monthly or annually) as selected during sign-up. By providing a payment method, you authorize DataPorium to charge the applicable fees to your selected payment method.
7.3 Automatic Renewal
Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.
8. NO REFUNDS
All purchases of subscriptions are final. DataPorium does not offer refunds for any reason, including but not limited to dissatisfaction or non-usage of the Service.
9. USER CONTENT AND ATTRIBUTION
9.1 Attribution
When incorporating DataPorium’s Content into your reports, posts, or presentations, you must credit DataPorium appropriately. Failure to provide proper attribution is prohibited.
9.2 Prohibited Presentation
You may not present DataPorium’s analyses or Content without associating them with the DataPorium brand.
10. DISCLAIMER OF WARRANTIES
The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied. DataPorium does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by law, DataPorium shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of the Service.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless DataPorium, its affiliates, officers, agents, and employees from any claim, demand, liability, loss, damages, or expenses, including reasonable attorney’s fees, arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.
13. TERMINATION
13.1 Termination by You
You may terminate your account at any time through your account settings. Upon termination, your right to use the Service will cease immediately.
13.2 Termination by DataPorium
DataPorium reserves the right to terminate or suspend your account and access to the Service at its sole discretion, without prior notice, for conduct that DataPorium believes violates these Terms or is harmful to other users or the Service.
13.3 Effect of Termination
Upon termination, all licenses granted to you will immediately cease, and you must promptly discontinue all use of the Service. Any provisions of these Terms which by their nature should survive termination will survive, including but not limited to ownership, warranty disclaimers, indemnity, and limitations of liability.
14. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located in California.
15. PRIVACY POLICY
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
16. MISCELLANEOUS
16.1 Entire Agreement
These Terms constitute the entire agreement between you and DataPorium regarding your use of the Service and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and DataPorium’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without DataPorium’s prior written consent. DataPorium may assign these Terms at its sole discretion without restriction.
